Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the InvestorPrism platform (the “Platform”), operated by InvestorPrism (“we,” “us,” or “our”). By creating an account or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

You must be at least 18 years old and legally able to enter into a binding contract to use the Platform. By using the Platform, you represent and warrant that you meet these requirements and that the information you provide about yourself is accurate and complete.

Access to certain features may be limited to specific categories of users. We may decline to provide, or may suspend or terminate, access to any user at our discretion.

The Platform is an informational venue that allows sponsors to advertise investment opportunities and allows investors to review those opportunities and connect with sponsors. The Platform is not a broker-dealer, funding portal, investment adviser, exchange, or transfer agent.

We do not solicit, offer, negotiate, or execute any securities transaction. We do not take custody of, hold, transmit, or handle any investor funds, securities, or other assets. Any investment, subscription, payment, or transfer of funds occurs directly between the investor and the sponsor (or their designated agents), entirely outside of the Platform. We are not a party to any such transaction.

Nothing on the Platform constitutes investment, financial, legal, accounting, or tax advice, or a recommendation that any particular investment, security, or strategy is suitable for you. Content on the Platform is provided for informational purposes only.

You are solely responsible for conducting your own due diligence and for consulting your own professional advisers before making any investment decision. Any decision you make is made at your own risk.

Where you represent your status as an accredited investor, qualified purchaser, or any similar designation, you do so on a self-reported basis. You are responsible for the accuracy of those representations.

We do not independently verify, and make no representation regarding, any user’s accreditation status, financial condition, or suitability for any investment. Sponsors are responsible for conducting any verification required by applicable law.

You are responsible for any information, materials, or content you submit to the Platform, and you represent that you have the right to share it. You agree not to use the Platform for any unlawful, misleading, or fraudulent purpose, and not to interfere with the integrity or operation of the Platform.

The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components, or that any information on the Platform is accurate or complete.

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from your use of, or reliance on, the Platform or any investment opportunity presented through it.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.
